The fees range from $1,500. to $2,500.
Business Plans
We take all your information and produce a detailed written business plan. If your business is a start-up we recommend financial projections for three years or if it is a business with a track record we recommend five years of financial projections. We will suggest a structure that is acceptable to the current market environment you are seeking. We will deliver the drafted business plan for you to have your attorney and/or accountant make any necessary changes.
The fees range from $2,500. to $5,000.
Shareholders Agreement

partners and/or investors. It will define the terms and conditions of
the sale and purchase of stock. The requirements or the lack of
requirements of the business, partners and/or investors and detailing

504 Regulation D
For a Regulation D, 504 Private Placement Memorandum offering document to raise Seed, Start-Up, or Expansion Capital from accredited investors within five states that includes three years of financial projections.

The Private Placement Memorandum for Regulation D 504 is a non-registered securities offering document to qualify for exemption from federal and state registration for raising up to $1,000,000 of securities in any 12-month period. The Private Placement Memorandum is a preparation document for the client's legal counsel review only. The three years (or can be five years) of financial projections are based on the client's financial assumptions. These projections include pro forma income statements, pro forma cash flow analysis, pro forma consolidated statement of operations, pro forma balance sheets and sources and use statements produced to the degree of Generally Accepted Accounting Principals (GAAP).
Rule 504 of Regulation D provides an exemption from the registration requirements of the federal securities laws for some companies when they offer and sell up to $1,000,000 of their securities in any 12-month period. A company can use this exemption as long as it is not a blank check company and does not have to file reports under the Securities Exchange Act of 1934. Also, the exemption generally does not allow companies to solicit or advertise their securities to the public, and purchasers receive "restricted" securities, meaning that they may not sell the securities without registration or an applicable exemption. Rule 504 does allow companies to make a public offering of freely tradable securities but only if one of the following circumstances is met: I. The company registers the offering exclusively in one or more states that require a publicly filed registration statement and delivery of a substantive disclosure document to investors; II. A company registers and sells the offering in a state that requires registration and disclosure delivery and also sells in a state without those requirements, as long as the company delivers the disclosure documents required by the state where the company registered the offering to all purchasers (including those in the state that has no such requirements); or III. The company sells exclusively according to state law exemptions that permit general solicitation and advertising, as long as the company sells only to "accredited investors." Even if a company makes a private sale where there are no specific disclosure delivery requirements, a company should take care to provide sufficient information to investors to avoid violating the antifraud provisions of the securities laws. This means that any information a company provides to investors must be free from false or misleading statements. Similarly, a company should not exclude any information if the omission makes what is provided to investors false or misleading. While companies using the Rule 504 exemption do not have to register their securities and usually do not have to file reports with the SEC, they must file what is known as a "Form D" after they first sell their securities. Form D is a brief notice that includes the names and addresses of the company's owners and stock promoters, but contains little other information about the company.
There are only two categories of people allowed to induce a 504, Regulation D offering to investors, the principals/officers of a company or a licensed securities dealer and not a loan broker or finder. Additionally, there are rules required under the securities laws which companies seeking capital must follow, such as those set by the popular Regulation D. Further, a company seeking capital is responsible for false or misleading statements, whether oral or written. The government enforces the federal securities laws through criminal, civil and administrative proceedings.
You are selling a 504, Regulation D offering and have a list of names of investors and you start calling then. Since you have no pre-existing relationship with any of the investors, you are in violation of one of the requirements of Regulation D, by making cold calls.
Investors that know you are not in compliance and invest in the 504, only benefits them 100% as they will have full and complete control of everything in your business because you have raised the capital in violation of Regulation D, subjecting your business to a no contest law suit.

Our site can host Inventors and/or Entrepreneurs video webcast profile. The fee for hosting a video webcast profile for ninety (90) days is $200.00 USD. Webcast video profile segments are available for up to thirty (30) seconds in running time. A onetime set-up fee of $20.00 USD per segment to upload your video webcast profile if in email form. If need be a onetime set-up fee of $40.00 USD per segment to digitize, compress and upload your video webcast profile.
Posting Advertisements
Our site can host Inventors and/or Entrepreneurs advertisement profile. The fee for hosting an advertisement profile that includes a four hundred (400) word limit for the Business Summary for a time period of ninety (90) days, costs $150.00 USD.
